| At an extraordinary partners’ meeting on August 30, 2005, Drägerwerk AG, Lübeck, and Siemens AG, Munich, adopted a resolution to transform the company into a German limited partnership (KG). The company’s new name is Dräger Medical AG & Co. KG. |

| Dräger’s and Siemen’s shareholdings shall remain unchanged at 65% and 35%, respectively. Dräger Medical Verwaltungs AG, which is wholly owned by Drägerwerk AG, shall remain the general partner.
The reorganization aims to simplify cooperation within the group and reflects a change in legal conditions.
